Board of Directors

Defines the general orientation of the Company’s businesses, controls and monitors the Company’s performance. The Board’s prerogatives are to propose to the General Assembly and approve changes in the company’s By-Laws; decide on the distribution of earnings of the Company’s subsidiaries, also on the constitution, merger, incorporation, split or extinction of its subsidiaries or even the sale of shares or assets of the Company.

Gueitiro Matsuo Genso: Academic Background: He holds an MBA in Basic General Training for Senior Executives from the Getulio Vargas Foundation (FGV-PR), concluded in August 1998, and in Agribusiness from the Luiz de Queiroz Higher Institute of Agriculture (ESALQ/USP), concluded in June 2002. He earned a degree in Business Administration from the Sociedade Paranaense de Ensino e Informática College (SPEI) in August 2002.
Professional Experience: He has occupied the position of Chairman of the Board of Directors of VALE S.A. since 2016, in which he has been a member since 2015; he was the Chairman of Caixa de Previdência dos Funcionários do Banco do Brasil (PREVI) from 2015 to 2018; at Banco do Brasil S.A., he worked as the Individual Client Account Officer, Mortgage Officer, Loans Officer and Product Officer (Banco Nossa Caixa) and, since July 2018, he has occupied the position of Chief Retail Distribution and Human Resources Officer; he worked as a member of the Board of Directors of Investimentos e Participações em Infraestrutura S.A. (INVEPAR) from 2015 to 2017; and he has worked as a member of the Board of Directors of BB Mapfre SH1 Participações S.A. since 2011; a sitting member of the Fiscal Council of Aliança do Brasil since 2010; and the Vice-president of Associação Brasileira das Entidades de Crédito Imobiliário (ABECIP) since 2010.

Ricardo Doria Durazzo: Academic Background: Mr. Durazzo holds a degree in Mechanic Engineering and a specialist degree in Computer Engineering from Escola Politécnica da Universidade de São Paulo, in 1984 and 1987, respectively. He also holds a master’s degree in Mechanic Engineering (Smart Products, Mechatronics and Robotics, and Smart Product Design Laboratory) from Stanford University/USA, in 1989 and an MBA in Finance and Management from Cornell University/USA, in 1991.
Professional Experience: Since 2010, he was occupied the following positions: Directing Partner at Rubicon S.A. (business management consulting); Senior Counselor at McKinsey & Company (business management consulting); and as Partner and Member of the Investment Committee of Terra Boa Capital (fund management); Director and Member of the Board of Directors of Saraiva Editores e Livreiros S.A. (publishing and retail), where he was elected for in 2015; Director and Member of the Board of Directors of Indústrias Romi S.A. (automotive), from 2013 to 2015; and has also worked at Cia. Providência (manufacturing and commerce of general plastics), from 2012 to 2014 and at Viver Incorporadora (real estate development), from 2012 to 2013.
None of the companies mentioned above, of which Mr. Durazzo worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Jaime Luiz Kalsing: Academic Background: Mr. Kalsing holds a master’s degree in Management Systems from Universidade Federal Fluminense, in 2005. He holds a post-graduate degree in General Training of Senior Executives from Universidade de São Paulo - FEA/USP, in 1996, a post-graduate degree in Financial Administration from Fundação Getúlio Vargas, in 1993 and a post-graduate degree in Financial Administration from Faculdades Integradas de Santo Angelo - FISA, in 1985. Mr. Kalsing also holds a bachelor’s degree in Accounting from Faculdades Integradas de Santo Angelo, in 1981 and a bachelor’s degree in Business Administration from Faculdades Integradas de Santo Angelo - FISA, in 1979.

Professional Experience: Fiscal Counselor at Companhia de Eletricidade do Estado da Bahia - COLEBA, since 2016; MBA Professor of Insurance and Reinsurance Management at Escola Superior Nacional de Seguros, from 2008 to 2016; Fiscal Counselor at Suzano Papel e Celulose S.A., from 2010 to 2013; Fiscal Counselor at HRT Participações em Petróleo S.A., in 2013. Paula Regina Goto: Academic Background: She holds a degree in Social Sciences from the State University of Maringá (PR), concluded in 2005, a post-graduate diploma in Management Practices for Sustainable Results from Instituto de Ensino e Pesquisa em Administração (INEPAD), a specialization degree in Agribusiness Management from Unyleya and an MBA in Financial Management from Associação Internacional de Educação Continuada.
She has occupied the position of Planning Officer at Caixa de Previdência dos Funcionários do Banco do Brasil (PREVI) since August 2018; she worked as a General Manager at Banco do Brasil S.A. from 2010 to 2018; a member of the Decision-making Board of Associação Nacional dos Funcionários do Banco do Brasil (ANABB); and a member of the Fiscal Council of ANABBPREV Fundo de Pensão Multipatrocinado.

Claudia Silva Araujo De Azeredo Santos: Academic Background: She earned a degree in Law from the Candido Mendes Law School (RJ) in 1984, and has several specialization degrees, including the 2003 Stanford Executive Program, from the Stanford Graduate School of Business, in the state of California, United States. She specializes in the corporate and capital market areas, focusing on mergers and acquisitions in Brazil and abroad, and capital market operations, through the issue of securities (initial public offerings and private offerings).
Professional Experience: She occupied the position of Legal Officer of publicly-held companies, including Companhia Siderúrgica Nacional from 1996 to 2003 and Embratel Participações S.A. from 2003 to 2004; and was a member of the Board of Directors of JBS SA from 2016 to 2017; Itá SA from 2000 to 2003; Tele-Norte Celular Participações S.A. from 2003 to 2004; Light S.A. from 2000 to 2001; and Metropolitana S.A. from 2000 to 2001 (these two as an alternate member). She is also a founding partner of Azeredo Santos & Cirne Lima Advogados, a law firm specialized in capital market and corporate (mergers and acquisitions) operations.

José Gustavo De Souza Costa: Academic Background: He holds a degree in Economics from the State University of Goiás, concluded in 1969.
Professional Experience: He is the co-owner of Bn61 Participações Ltda.; he has been a member of the Technical and Economic Board of Confederação Nacional do Comércio de Bens, Serviços e Turismo (CNC) since 2016; he worked as a member of the Board of Directors of Centrais Elétricas de Santa Catarina S.A. (CELESC) from 2015 to 2017; the Chief Executive Officer at AUX Colômbia and CCX Carvão de Colômbia from 2011 to 2013; the Chief Executive Officer at Concessão Metroviária do Rio de Janeiro S.A. from 2005 to 2011; the Chairman of the Board of Directors of SuperVia from 1998 to 2004; a member of the Board of Directors of Enersul S.A. from 1997 to 2000 ; a member of the Board of Directors of Eletrobras S.A. from 1994 to 2000; and a member of the Board of Directors of Escelsa S.A. from 1994 to 2000.

Gabriel Stoliar: Academic Background: Mr. Stoliar holds a bachelor’s degree in Production Engineering from the Universidade Federal do Rio de Janeiro - UFRJ, in 1976, holds a post-graduate degree in Production Engineering for the Industrial Projects and Transportation Areas from PIT/COPPE/UFRJ (1976) and an Executive MBA from PDG-SDE/RJ, in 1991.
Professional Experience: Chairman of the Board of Directors since May 2009. He has been part of Banco Nacional de Desenvolvimento Social - BNDES (financial institution) since 1978, being designated, from 1994 to 1997 as Director of BNDESPar (management of equity holdings); from 1997 to 2008, at MInvestor Relations and as Executive Director of e Planning and Management; and from 2008 to 2013 he maintained a professional relationship with Vale as a consultant, representing the Company at Boards of Directors and assessing the Company’s senior management. Mr. Stoliar is currently Partner at Studio Investimentos Administradora de Recursos Ltda. (independent fund management) and Member of the Boards of Directors of LOGZ Logística Brasil S.A. (port and logistics) and at KNIJNIK Engineering Integrada (engineering solutions). None of the companies mentioned above, of which Mr. Stoliar worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Professional Experience: He occupied the role of CFO at Marcopolo S.A. from 1997 to 2000 and later as CEO at the same company, from 2000 to 2016. He is currently Member of the Board of Directors of Librelato S.A. and of Duas Rodas S.A., both companies being privately-held entities. None of the companies mentioned above, of which Mr. Rosa worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Professional Experience: He occupied the role of CEO at the Brazilian operations of Anglo American, CEO at Santista Textil and CEO at Tavex. He is certified by IBGC, and acted as independent counselor of MDias Branco S.A., T4U Holding Brasil and Login Logistica S.A. (where he was also Chairman of the Board of Directors), all listed under the Novo Mercado segment of BM&FBovespa. He is currently Member of the Board of Directors of Usiminas S.A. and Login Logistica S.A. None of the companies mentioned above, of which Mr. Weiss worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Ms. Lucas speaks English, Spanish, French and Italian.
Professional Experience: Associate Consultant at Comatrix Gestão e Consultoria, from 2014 to present; CFO and Investor Relations Officer at Bombril, from 2012 to 2013; Executive President of Instituto Roberto Sampaio Ferreira, from 2012 to 2013. Controller at Bombril S.A., from 2011 to 2012. Vice President of Finance and Human Resources of Intelig Telecom, from 2008 to 2009. Board of Officers

The Board of Officers is responsible for executing all necessary measures in order to achieve the objectives of the Company, as set out in the bylaws. The Board also represents the Company in court, during conflicts, lawsuits and other kinds of legal summoning. The Officers are responsible for celebrating legal transactions, such as contracts. The Board is led by the CEO who calls the meetings and commands the general activities of the Company. During the Board’s deliberations, the CEO has the casting vote, in addition to their regular vote. The minimal rate of attendance of a Board’s meeting is 3/5 (three fifths) of its members.

Fernando Cestari de Rizzo: Academic Background: Mr. Rizzo holds a degree in Mechanical Engineering from FAAP, in 1993 and a post-graduate degree from Fundação Getúlio Vargas - SP, in 1996. He also holds a degree in Marketing and Finance from Indiana University/EUA, in 2000.
Professional Experience: Mr. Rizzo has been Vice President of the Company’s Automotive Business Unit since July 2012. From 1992 to 1995, he was an Intern and later and Engineer at Sofunge (Mercedes Benz do Brasil, which was acquired by Tupy in November 1995); from 1996 to 1998 he was a Product Development Engineer at Tupy American Foundry Corp.; from 2000 to 2003, he was responsible for the strategic planning efforts of Tupy S.A. and from 2004 to 2012 he was Sales Vice President Director at Tupy S.A.

Fabio Pena Rios: Academic Background: Metallurgic Engineering - Universidade Federal de Minas Gerais/MG - 1993.
Professional Experience: Tupy’s Engineering Executive Officer since 2018, working as Engineering Executive Officer of the Company’s Mexican subsidiaries since 2012. Between 2009 and 2012, he worked as Engineering Executive Officer of Grupo Cifunsa SA in CV (acquired by Tupy in 2012); between 2003 and 2009, he worked as Manager of Engineering, Quality and Processes at Teksid Hierro in Mexico; and, from 2002 to 2003, he worked as Manager of Quality and Process at Blackhawk in Mexico.
Statement of Any Convictions: Mr. Fabio Pena Rios states that, in the past five years, he has no final conviction with no further appeal possible, in the judicial or administrative sphere, which has suspended or disqualified for the practice of a professional or commercial activity.
Mr. Fabio Pena Rios states that he is not considered a Politically Exposed Person, under the terms of the applicable regulations, since he doesn’t carry out nor carried out in the last 5 years in Brazil or in foreign countries, territories and facilities, positions, jobs or public roles, as well as their representatives, family members and other people of his close relationship.

Thiago Fontoura Struminski: Academic Background: Mr. Struminski holds a degree in Law from Pontifícia Universidade Católica do Paraná, a specialist degree in Business Economics from Fundação Getúlio Vargas and a degree from Harvard Business School for the Program for Leadership Development.

Fiscal Council

Ricardo Doria Durazzo: Academic Background: Mr. Durazzo holds a degree in Mechanic Engineering and a specialist degree in Computer Engineering from Escola Politécnica da Universidade de São Paulo, in 1984 and 1987, respectively. He also holds a master’s degree in Mechanic Engineering (Smart Products, Mechatronics and Robotics, and Smart Product Design Laboratory) from Stanford University/USA, in 1989 and an MBA in Finance and Management from Cornell University/USA, in 1991.
Professional Experience: Since 2010, he was occupied the following positions: Directing Partner at Rubicon S.A. (business management consulting); Senior Counselor at McKinsey & Company (business management consulting); and as Partner and Member of the Investment Committee of Terra Boa Capital (fund management); Director and Member of the Board of Directors of Saraiva Editores e Livreiros S.A. (publishing and retail), where he was elected for in 2015; Director and Member of the Board of Directors of Indústrias Romi S.A. (automotive), from 2013 to 2015; and has also worked at Cia. Providência (manufacturing and commerce of general plastics), from 2012 to 2014 and at Viver Incorporadora (real estate development), from 2012 to 2013.
None of the companies mentioned above, of which Mr. Durazzo worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Professional Experience: He occupied the role of CEO at the Brazilian operations of Anglo American, CEO at Santista Textil and CEO at Tavex. He is certified by IBGC, and acted as independent counselor of MDias Branco S.A., T4U Holding Brasil and Login Logistica S.A. (where he was also Chairman of the Board of Directors), all listed under the Novo Mercado segment of BM&FBovespa. He is currently Member of the Board of Directors of Usiminas S.A. and Login Logistica S.A. None of the companies mentioned above, of which Mr. Weiss worked during the last 5 years, is part of the same economic group as Tupy or is controlled by a Tupy shareholder that has a stake of 5% or higher of the same class or type of share issued by Tupy.

Gabriel Stoliar: Academic Background: Mr. Stoliar holds a bachelor’s degree in Production Engineering from the Universidade Federal do Rio de Janeiro - UFRJ, in 1976, holds a post-graduate degree in Production Engineering for the Industrial Projects and Transportation Areas from PIT/COPPE/UFRJ (1976) and an Executive MBA from PDG-SDE/RJ, in 1991.
Professional Experience: Chairman of the Board of Directors since May 2009. He has been part of Banco Nacional de Desenvolvimento Social - BNDES (financial institution) since 1978, being designated, from 1994 to 1997 as Director of BNDESPar (management of equity holdings); from 1997 to 2008, at MInvestor Relations and as Executive Director of e Planning and Management; and from 2008 to 2013 he maintained a professional relationship with Vale as a consultant, representing the Company at Boards of Directors and assessing the Company’s senior management. Mr. Stoliar is currently Partner at Studio Investimentos Administradora de Recursos Ltda. (independent fund management) and Member of the Boards of Directors of LOGZ Logística Brasil S.A. (port and logistics) and at KNIJNIK Engineering Integrada (engineering solutions). Mr. Kalsing also holds a bachelor’s degree in Accounting from Faculdades Integradas de Santo Angelo, in 1981 and a bachelor’s degree in Business Administration from Faculdades Integradas de Santo Angelo - FISA, in 1979.
Professional Experience: Fiscal Counselor at Companhia de Eletricidade do Estado da Bahia - COLEBA, since 2016; MBA Professor of Insurance and Reinsurance Management at Escola Superior Nacional de Seguros, from 2008 to 2016; Fiscal Counselor at Suzano Papel e Celulose S.A., from 2010 to 2013; Fiscal Counselor at HRT Participações em Petróleo S.A., in 2013.
